Terms of Service

1. Acceptance of terms

By engaging Parakeeet AI Pvt Ltd ("Parakeeet", "we", "our") or using parakeeet.ai, you agree to these Terms of Service. If you do not agree, do not use our services.

2. Our services

Parakeeet provides custom-scoped AI automation engineering services — including discovery, architecture, build, deployment, and ongoing operation of AI workflows integrated into your existing business stack.

Each engagement is governed by a written Statement of Work (SOW) signed by both parties that specifies scope, deliverables, timeline, fees, and any specific terms applicable to that engagement.

3. Discovery and engagement

Discovery calls are free and non-binding. Information shared during discovery is treated as confidential and protected under our standard Non-Disclosure Agreement.

Engagement begins only after a signed SOW and applicable payment milestones are completed.

4. Payment terms

Fees, payment schedule, and billing are specified in each SOW. Standard practice: initial discovery and architecture phase invoiced upfront; build milestones invoiced as completed; monthly retainers invoiced in advance.

Invoices are payable within the period stated on the invoice. Late payment may result in suspension of services after written notice.

All fees are exclusive of applicable Goods and Services Tax (GST), withholding tax, and other statutory levies, which will be added at prevailing rates.

5. Ownership and IP

Upon full payment under the relevant SOW, you own the custom code, integrations, configurations, and documentation we build specifically for your engagement.

Parakeeet retains ownership of: (a) its pre-existing intellectual property, frameworks, tools, and methodologies used to deliver the engagement; and (b) any reusable components, libraries, or generalised improvements developed during the engagement that are not specific to your business.

You grant Parakeeet a non-exclusive licence to reference the existence of our engagement for marketing purposes, subject to any confidentiality restrictions specified in the SOW.

6. Data and confidentiality

Both parties agree to maintain the confidentiality of business and personal data shared during the engagement, governed by the standard NDA and any Data Processing Agreement signed at onboarding.

Personal data handling is governed by our Privacy Policy and our DPDP Compliance Statement.

7. Service levels and remedies

We commit to weekly progress updates during the build phase and to the timelines stated in the SOW, subject to scope changes and dependencies outside our reasonable control.

If a deliverable does not meet the specifications in the SOW, your sole remedy is for Parakeeet to remediate the defect within a reasonable timeframe. Parakeeet does not warrant that services will be uninterrupted or error-free.

8. Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice.

For monthly retainer engagements, either party may terminate with 30 days written notice. Upon termination, you retain full ownership of all systems built under prior milestones, and Parakeeet will provide reasonable handover support per the SOW.

9. Limitation of liability

To the maximum extent permitted by law, Parakeeet's aggregate liability under any engagement shall not exceed the total fees paid by you to Parakeeet under that engagement in the preceding 12 months.

Neither party is liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business interruption.

10. Governing law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

11. Changes

We may update these terms from time to time. Material changes will be communicated to active clients in writing. The "Last updated" date at the top reflects the current version.
