By accessing or using the services provided by Parakeeet.ai (“we,” “our,” “us”), you (“Client,” “User,” “You”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our Services.
2. Definitions
- Services – AI-powered voice assistants, automation tools, and related integrations offered by Parakeeet.ai.
- DIY Plan – Self-managed setup where the Client handles configurations.
- DFY Plan – Fully managed “Done-For-You” setup with strategy, setup, and ongoing management.
- Client Data – Any information, leads, recordings, or content provided or generated by the Client.
- Subscription – A recurring plan purchased by the Client for use of our Services.
3. Services Provided
Parakeeet.ai provides AI-powered voice assistants and automation tools for:
- Sales, lead qualification, and appointment booking
- Customer support and information assistance
- Multi-language support, advanced reporting, and booking tools
Plans include DIY, DFY, and Enterprise solutions with customizable minutes and AI agent configurations.
4. Client Responsibilities
You agree to:
- Provide accurate and up-to-date information for onboarding and integrations.
- Ensure compliance with all applicable laws:
- TRAI Regulations (India) – No unsolicited commercial communication without consent.
- TCPA (USA) – Respect “Do Not Call” lists and obtain prior consent.
- GDPR (EU) – Process personal data lawfully and securely.
- IT Act, 2000 & SPDI Rules (India) – Protect sensitive personal data.
- Obtain necessary permissions from leads/customers before initiating calls/messages.
- Maintain the confidentiality of your login credentials and account.
5. Data Privacy & Security
- We collect, store, and process Client Data solely to provide our Services.
- We do not sell or rent Client Data to third parties.
- Data is retained for 90 days after account cancellation, after which it is securely deleted unless legally required to retain it.
- Clients are responsible for compliance with privacy laws in relation to their data usage.
6. Ownership & Intellectual Property
- All technology, designs, scripts, and intellectual property remain the property of Parakeeet.ai.
- Clients may not copy, reverse engineer, resell, or create derivative works from our software or agents without prior written consent.
- Custom-built AI scripts or integrations remain owned by Parakeeet.ai unless explicitly transferred in writing.
7. Payment Terms
- All fees are due upfront unless otherwise agreed in writing.
- Subscription fees auto-renew unless canceled before the renewal date.
- Failure to pay may result in suspension or termination of Services.
- All amounts are exclusive of applicable taxes (GST in India, VAT in other jurisdictions).
- Refunds, if applicable, will be processed in accordance with our Refund & Cancellation Policy.
8. Fair Use Policy
- While certain plans allow unlimited AI agents, usage must remain within reasonable business limits.
- Abuse, spam calling, or excessive automation beyond fair business use may result in service restrictions or suspension.
9. No Performance Guarantee
Our Services are designed to improve engagement and lead conversion, but we do not guarantee specific revenue or results.
10. Limitation of Liability
To the fullest extent permitted by law:
- Parakeeet.ai is not liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or goodwill.
- Total liability shall not exceed the fees paid by the Client in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Parakeeet.ai, its officers, employees, and affiliates from any claims, damages, or liabilities arising from:
- Your violation of these Terms
- Non-compliance with applicable laws
- Third-party claims relating to your marketing or data handling practices
12. Third-Party Integrations
- Parakeeet.ai may integrate with third-party platforms (e.g., CRMs, booking tools).
- We are not liable for downtime, data breaches, or service issues caused by third parties.
- You must comply with the terms of those third-party services.
13. Force Majeure
We are not responsible for service delays or failures caused by events beyond our control, including natural disasters, government actions, telecom outages, or cyberattacks.
14. Service Suspension & Termination
We may suspend or terminate your account if:
- Payments are overdue
- You breach these Terms
- Your usage violates laws or poses risks to our platform No refunds are issued for accounts terminated due to violations.
15. Confidentiality
Both parties agree to keep confidential all non-public business, technical, or customer information disclosed during the agreement.
16. Modifications to Terms
We may update these Terms at any time. Updates will be posted at https://parakeeet.ai/terms-of-service and take effect upon posting. Continued use of our Services constitutes acceptance.
17. Governing Law & Dispute Resolution
- For Clients in India – Governed by the laws of India, disputes under the exclusive jurisdiction of Mumbai, Maharashtra courts.
- For Clients Outside India – Governed by the laws of Delaware, USA, with disputes resolved via binding arbitration per the American Arbitration Association rules.
